PARTNERLOOM PARTNER CODE OF CONDUCT

This Partnerloom Partner Code of Conduct, together with the Partnerloom Terms of Service (which may be accessed here) and Partnerloom Partner Privacy Policy (which may be accessed here), together the “Terms of Use”, set out the terms and conditions on which Dia Partners OÜ, a company registered in Estonia with number 16665931 and its registered office at Pikk 47, EE-10133 Tallinn, Estonia, doing business as Partnerloom (“Partnerloom” or “we”) provides the Service to Partners

The purpose of this Partner Code of Conduct is to ensure the appropriate use of the Partnerloom Platform and Services by clients, partners and permitted users; to maintain the security, safety, integrity, and reliability of the Partnerloom Platform, and protect the interests of all users.

  1. Definitions used in this Agreement

In this Partner Code of Conduct, the following expressions have the following meanings:

“Core Tools” Partnerloom’ standard affiliation technologies which Partners can use to affiliate Vendor links, through Affiliate Networks, with the purpose of earning the Partner Revenue and obtaining insights via the Platform, which include:

(i) Partnerloom Javascript; and
(ii) Link wrapper.

“Optional Tools” All Tools except for Core Tools, and including such additional or alternative proprietary or third party software tools that Partnerloom may from time to time make available to the Partner.

“Partner” or “you” A person or other entity who is entitled to access and use the Service under the terms of an Agreement, typically a content creator and/or influencer, or individuals representing such a person or entity.

“Platform” Partnerloom’ proprietary, login-protected web portal that may be accessed by Partners at www.partnerloom.com.

“Property” Any and all internet websites, mobile websites, mobile applications or other forms of digital presence controlled or operated by a Partner and/or its corporate affiliates.

“Service” Access and use of the Platform and the Tools.

“Tools” The Core Tools and the Optional Tools or, as the context requires, any of them, including any additional tool launched by Partnerloom.

“Vendor” A supplier of software services which is included in the list of Vendors on the Platform.

2. Your Use of the Platform

When you use the Platform, you may upload or provide content or information and communicate with others. You agree that you have all appropriate rights to anything you provide to or through the Platform. Partnerloom has the right (but not the obligation) to remove or disable access to unacceptable content that you provide to or through the Platform in its sole discretion. Please do not upload or provide any personal information to the Platform, as other users may have the ability to see and use any such information. Communications made by or to you through the Platform are not confidential information and Partnerloom cannot and does not guarantee the security of data transmitted over the Internet or public networks in connection with your use of the Platform.

3. Prohibited Content

We do not allow Partners with the following types of content to use Partnerloom:

  1. offensive, defamatory, violent or hateful content;
  2. obscene or pornographic content;
  3. content that specifically targets children aged 13 and below; or
  4. content that promotes illegal activity or in itself is illegal.

4. Prohibited Use

By using the Partnerloom Platform, you agree that you will not engage in any of the following on the Platform:

  1. “frame”, “mirror” or otherwise incorporate the Platform or any part thereof on any commercial or non-commercial website;
  2. access, monitor or copy any part of the Platform using any robot, spider, scraper or other automated means or any manual process;
  3. violate the restrictions in any robot exclusion headers on the Platform or bypass or circumvent other measures employed to prevent or limit access to the Platform;
  4. take any action that imposes, or may impose, an unreasonable or disproportionately large load on the Platform;
  5. engage in “direct linking” or through redirection or other means alter the http referrer;
  6. deep-link to any portion of the Platform for any purpose;
  7. remove any watermarks, labels or other legal or proprietary notices within the Platform;
  8. modify or attempt to modify the Platform, including any modification for the purpose of disguising or changing any indications of the ownership or source of the Platform;
  9. use the Platform as part of any service for sharing, lending or multi-person use;
  10. operate multiple accounts without express written consent from Partnerloom;
  11. attempt to, assist, authorize or encourage others to circumvent, disable or defeat any of the security features or components, such as digital rights management software or encryption, that protect the Platform;
  12. copy, reproduce, modify, distribute, transfer, sell, publish, broadcast, perform, transmit, publish, license or circulate in any form any part of the Platform;
  13. create adaptations, translations, or derivative works based on the Platform, in whole or in part, or decompile, disassemble, reverse engineer or other exploit any part of the Platform;
  14. use of access the Platform in a manner that violates the rights (including, but not limited to intellectual property rights) of any third party, including, but not limited to Partnerloom’s Vendors;
  15. use search engine marketing in order to bid on merchant’s brand terms and generate affiliate revenues through Partnerloom;
  16. purchase advertisements that direct to your site(s) that could be considered as competing with a Vendor’s ads;
  17. generate impressions, clicks, or transactions through any means other than those initiated by non incentivized end users;
  18. send unsolicited messages, spam, or phishing attempts to users or third parties; or
  19. engage in any activity or conduct of fraudulent or deceitful nature that violates applicable local, state, federal, laws, regulations or conventions.

5. Geographic Limitations

Partnerloom is focused on monetizing traffic from Latin America. Due to our current geographical focus, if your Property does not have a significant amount of traffic from Latin America, we won’t be able to properly monetize your content and we may deny your application to ensure you avoid disappointment with our Service.

Partnerloom can not serve entitities registered in countries that are subject to economic sanctions or export control laws and regulations imposed by the EU or the United States.

6. Acceptance

By using the Partnerloom Platform, you acknowledge and agree to abide by this Partner Code of Conduct and agree to cooperate with us to investigate and remedy any violations or threatened violations.
